2. Intellectual Property Ownership

All Content Is the Exclusive Property of Boston Made, Inc.

Unless otherwise stated in a written agreement signed by an authorized Boston Made representative, all intellectual property contained within or made available through our Services is owned exclusively by Boston Made, Inc. and/or its content developers, licensors, or affiliates. This includes, without limitation:

• Website design, architecture, layout, and structure
• Written content, articles, communications, and publications
• Logos, trademarks, trade dress, brand identifiers, and service marks
• Product names, program names, and proprietary terminology
• Software, code, systems, and digital products
• Custom development work, UX/UI, graphics, and creative assets
• Photography, video, media, and digital files
• Databases, analytics, and compiled information
• Business models, strategies, and methodologies

All rights are reserved and protected under United States and international intellectual property laws.

Use Restrictions

You may not, without prior written consent from Boston Made:

• Copy, reproduce, redistribute, or republish any content
• Modify, adapt, reverse engineer, or create derivative works
• Sell, license, lease, sublicense, or exploit any portion of the Services
• Use our trademarks or branding in any unauthorized manner
• Scrape, extract, or harvest data, content, or system structure
• Represent any Boston Made IP as your own

Any unauthorized use constitutes intellectual property infringement and may result in legal action, damages, injunctive relief, and/or termination of access.

Boston Made vigorously protects its intellectual property rights.

3. Digital Services & Deliverables

Boston Made provides digital services and deliverables, including but not limited to:

• Website development, design, and software services
• Cloud architecture and infrastructure
• Marketing, strategy, and consulting
• Digital content creation
• E-commerce implementation
• Custom integrations
• Subscription and retainer services

Unless expressly transferred in writing, Boston Made retains ownership of all intellectual property, code, frameworks, digital structures, creative assets, and methodologies used or developed in connection with our Services, even where deliverables are provided to clients.

License rights, if granted, are only as expressly stated in a written service agreement.

4. User Conduct

You agree not to use the Services to:

• Violate any laws or regulations
• Interfere with system security, stability, or functionality
• Upload malicious code or attempt unauthorized access
• Harass, defame, harm, or infringe upon others
• Misrepresent your identity or affiliation
• Attempt to copy, exploit, or mine protected content

We reserve the right to suspend or terminate access for violations.

5. No Legal, Financial, or Professional Advice

Content and communications provided through Boston Made websites or Services are for informational and business purposes only and do not constitute legal, financial, tax, investment, or professional advice.

You are solely responsible for your business decisions.

6. Payment Terms & Non-Refundable Services

Unless otherwise stated in a written agreement:

• Payments must be made as invoiced
• Digital services are non-refundable
• Subscription or retainer fees are billed as agreed
• Work product may be withheld until payment is received

7. Disclaimer of Warranties

The Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including but not limited to:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Service uptime guarantees

We do not warrant that the Services will be:

• Error-free
• Secure
• Uninterrupted
• Free from viruses or harmful components

Use is at your own risk.

8. Limitation of Liability

To the fullest extent permitted by law:

Boston Made, Inc., its officers, directors, employees, contractors, partners, and affiliates shall not be liable for any indirect, incidental, consequential, exemplary, or punitive damages arising from or relating to your use of the Services — including but not limited to loss of data, revenue, opportunity, or business interruption — even if advised of the possibility.

Our total liability, if any, shall not exceed the amount paid by you for the Services in the preceding 12 months.

Some jurisdictions may not permit certain limitations — in such cases, our liability shall be limited to the maximum extent allowed by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Boston Made, Inc. from any claims, damages, liabilities, costs, or expenses (including attorneys’ fees) arising out of:

• Your use of the Services
• Violation of these Terms
• Infringement of rights of third parties
• Misuse of Boston Made intellectual property

10. Third-Party Services & Links

Our Services may include links to third-party tools or websites. Boston Made does not control or endorse third-party services and is not responsible for their content, practices, availability, or security.

Use of third-party services is at your own risk and subject to their terms.

11. Termination

Boston Made reserves the right, in its sole discretion, to suspend or terminate access to the Services at any time, without notice, for conduct violating these Terms or for any business-necessary reason.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in courts located within that jurisdiction.

You waive objections based on venue or forum.

13. Severability

If any provision of these Terms is found unlawful or unenforceable, the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms constitute the entire agreement between you and Boston Made regarding the use of the Services and supersede all prior communications.
