Boston Made Common Stock

The shares of common stock of Boston Made, Inc. (“Boston Made” or the “Company”) represent an equity ownership interest in the Company. Holders of common stock are entitled to one vote per share on all matters submitted to a vote of the shareholders, including, without limitation, the election of directors and the approval of certain significant corporate transactions, subject to any voting rights that may be granted to holders of preferred or other classes of stock pursuant to the Company’s governing documents.

Subject to preferences, if any, applicable to any outstanding series or class of preferred stock, holders of common stock are entitled to receive dividends when, as, and if declared by the Board of Directors of Boston Made out of funds legally available therefor. The payment and amount of any dividends on common stock are not guaranteed and will be determined at the sole discretion of the Board of Directors based on the Company’s financial condition, operating results, capital requirements, contractual restrictions, and other factors it deems relevant.

In the event of any liquidation, dissolution, or winding up of Boston Made, and after payment or provision for the payment of all debts and liabilities of the Company and any liquidation preferences of any outstanding preferred stock or other senior securities, the remaining assets of the Company, if any, will be distributed ratably among the holders of common stock in proportion to the number of shares then held by each such shareholder.
